End-User License Agreement

Effective date: May 20, 2026
Operator: Bootstrap AI ("Bootstrap AI," "we," "us"), operated by Andy Jordan, Cache Valley, Utah, USA.

This End-User License Agreement ("Agreement") governs your access to and use of the BSAI Bookkeeper software application (the "Application"). By installing, connecting, or using the Application, you ("you," "your," or the "Customer") agree to be bound by this Agreement.

1. License grant

Subject to your compliance with this Agreement, Bootstrap AI grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely to support the bookkeeping operations of QuickBooks Online ("QBO") company files for which you possess valid authorization to grant access.

2. Description of the Application

The Application connects to your QBO company via Intuit's official OAuth 2.0 flow. It reads transactions, bills, vendor records, and account information. It uploads receipt files you supply via your designated intake folder (e.g., Google Drive) and attaches them to matching QBO transactions. It may propose categorization changes, draft communications, and produce reports. The Application performs no action against QBO that is irreversible without first presenting that action to a human authorized user for explicit approval.

3. Your responsibilities

You agree that you will:

Only connect QBO company files for which you are an owner, partner, or have written authorization from an owner or partner to connect.
Maintain accurate authorization credentials and revoke them promptly upon loss, departure, or change of authorized personnel.
Review proposed actions (attachments, categorizations, communications) before approving execution.
Maintain backups of your QBO data through Intuit's standard mechanisms; the Application is not a backup service.

4. Bookkeeping judgment

The Application provides automation and suggestions. It does not provide accounting, tax, legal, or financial advice. Bookkeeping decisions, including categorization, are your responsibility and should be reviewed by a qualified professional. The Application is not a substitute for professional bookkeeping or accounting services.

5. Third-party services

The Application interoperates with third-party services including but not limited to Intuit (QuickBooks Online), Google (Drive), Slack, and Anthropic (for text and image processing). Your use of those services is governed by their respective terms. Bootstrap AI is not responsible for the availability, accuracy, or actions of third-party services.

6. Disclaimer of warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BOOTSTRAP AI DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BOOTSTRAP AI AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE APPLICATION. THE AGGREGATE LIABILITY OF BOOTSTRAP AI ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

8. Indemnification

You agree to defend, indemnify, and hold harmless Bootstrap AI and its operator from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Application; (b) your violation of this Agreement; or (c) your violation of any rights of a third party, including authorization rights to a QBO company file.

9. Termination

Either party may terminate this Agreement at any time. You may terminate by disconnecting the Application from your QBO company file through Intuit's standard disconnect flow. Upon termination, your license under Section 1 ends, and the Application will cease all access to your QBO data.

10. Governing law

This Agreement is governed by the laws of the State of Utah, USA, without regard to its conflict of laws provisions. Exclusive jurisdiction and venue lie in the state and federal courts located in Cache County, Utah, and the parties consent to that jurisdiction.

11. Changes to this Agreement

Bootstrap AI may revise this Agreement from time to time. The current version will always be available at the URL where you accessed this Agreement, with an updated "Effective date" above. Continued use of the Application after a revision constitutes acceptance of the revised Agreement.
